Terms of service
ora Wholesale Terms of Service
Last updated: Oct 22, 2026
These terms apply to every wholesale order placed with ora and to your use of carryora.com. By requesting a quote, placing an order or using the site, you agree to them.
1. Who we are and who these terms apply to
"ora", "we" and "us" mean Axiom Oakmont, operating as ora, based in Toronto, Ontario, Canada. "You" and "the buyer" mean the business placing an order or requesting a quote.
ora sells to businesses only. By placing an order, you confirm you are buying for resale, corporate gifting or other business use, and that you have authority to bind your business to these terms.
If a written quote or order confirmation from us conflicts with these terms, the quote or confirmation applies to that order. Terms in your purchase orders or other documents do not apply unless we agree to them in writing.
2. Quotes, orders and payment
Quotes. Wholesale pricing is shared by quote. A quote is valid for 30 days from the date we send it, unless it says otherwise. Prices shown on the site, including MSRP, are for reference only.
Minimum order quantities. Each product has a minimum order quantity (MOQ), shown on the site and confirmed in your quote. Most products start at 100 units; ora Max starts at 300 units.
Order confirmation. An order is confirmed only when we send a written order confirmation and receive payment in full.
Payment. Payment is 100% upfront, by bank wire or by card (processed by Stripe), as stated on your invoice. Production does not start until full payment has cleared. Prices are in Canadian dollars unless your quote states another currency.
Taxes. Sales taxes, such as GST/HST, are charged where the law requires, and any tax that applies is shown on your quote and invoice. Orders delivered outside Canada are not charged GST/HST. Import duties, taxes and customs fees are covered in our Shipping Policy.
3. Custom branding
Free logo branding. Logo branding is included at no extra cost on every product. Custom packaging and other special requests are quoted separately.
Your artwork. You supply your logo or artwork in a print-ready format we can use. You confirm you own it or have the right to use it, and you agree to cover any claims, costs or losses that arise if it infringes someone else's trademark, copyright or other rights.
Proof approval. We send a digital proof before production. Production starts only after you approve it in writing. Once approved, you are responsible for the content, spelling and placement shown in the proof.
Variation. Small differences in colour, size or placement between the proof and finished products are normal in manufacturing and are not defects. We may decline artwork that is unlawful, offensive or infringes another party's rights.
4. Production, shipping and risk
Lead times. Production takes about 7–10 business days, and shipping time is added on top, depending on whether you choose express or standard shipping. Lead times start once full payment has cleared and you have approved your proof. They are estimates, not guarantees; we will tell you promptly if your order is delayed.
Freight. Shipping is quoted separately and paid by you. We will give you a freight estimate based on your quantity and delivery address. Delivery dates from carriers are estimates.
Risk and ownership. Ownership passes to you once we receive full payment. Risk of loss or damage passes to you when we hand your order to the first carrier at our production facility, whether that carrier is booked by us or by you. Every shipment we arrange is covered by cargo insurance, and its cost is included in your shipping quote. If your order is lost or damaged in transit, we file the claim with the insurer and pass the settlement to you as a replacement, refund or credit, subject to the insurer's terms. Shipments collected by your own forwarder are not covered by our insurance.
Delays outside our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as supplier or factory disruptions, carrier or customs delays, strikes, natural disasters or government action.
5. Cancellations, defects and returns
Cancellations. You can cancel an order for a full refund until you approve your proof. Once you approve it, production starts and the order cannot be cancelled or refunded, because goods are made and branded to your order.
Changes. You can request changes to quantities, colours or branding before you approve your proof. Changes may affect the price and lead time, and we will confirm both before going ahead.
Defects and shortages. Check your order when it arrives. Report any defective units, or units missing from cartons we packed, to us within 14 days of delivery, with your order number, the number of units affected and photos. Damage or loss in transit is handled through cargo insurance under section 4, so note any visible damage or missing cartons on the carrier's delivery receipt before you sign, and tell us right away.
For confirmed defects or shortages, we will replace the affected units or refund or credit their price, at our choice. We may ask you to return the affected units or dispose of them; if we ask for a return, we cover the return shipping. Shipping for replacement units is decided case by case: we either cover it or quote it to you, and we will confirm which before sending them. Freight, shipping, duties, customs and brokerage fees are not refundable once your order has shipped.
No other returns. Orders are made and branded for you, so we do not accept returns of products that are not defective or short-packed. If you do not report a problem within 14 days of delivery, the order is treated as accepted. Our Return and Refund Policy sets out how claims and refunds are handled and forms part of these terms.
6. Warranty, liability, resale and website use
Warranty. We warrant that products are free from manufacturing defects when delivered. This does not cover normal wear, misuse, accidents, or care that goes against the product's instructions. Apart from this, and to the extent the law allows, products are sold without other warranties, express or implied.
Limit of liability. To the extent the law allows, our total liability for any claim about an order is limited to the amount you paid for that order. We are not liable for indirect or consequential losses, including lost profits, lost sales or business interruption.
Resale. You may resell the products at prices you choose; any MSRP we give is a suggestion. You may use our product photos and descriptions to sell ora products. You may not use the ora name or logo in a way that suggests you are ora or are endorsed by us, unless we agree in writing.
Website use. The content on carryora.com, including text, photos, logos and design, belongs to ora or its licensors. Product photos and colour swatches are representative; finished products may differ slightly in colour and detail. Personal information you share with us is handled under our Privacy Policy.
7. Governing law, changes and contact
Governing law. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be resolved in the courts of Toronto, Ontario.
Changes to these terms. We may update these terms from time to time. The version on carryora.com when you place an order applies to that order.
Contact. Questions about these terms or an order: hello@carryora.com.
